Der Autor untersucht die zivilrechtliche Haftung und die strafrechtliche Verantwortung von GmbH-Geschäftsführern, die ein insolventes Unternehmen weiterführen, ohne einen Insolvenzantrag zu stellen. Zunächst werden die Insolvenzgründe wie Zahlungsunfähigkeit, drohende Zahlungsunfähigkeit und Überschuldung erläutert, gefolgt von der Bedeutung des Insolvenzantrags. Ein Schwerpunkt liegt auf der Rolle des faktischen Geschäftsführers und der Frage, ob dieser der Insolvenzantragspflicht unterliegt. Im Hauptteil werden zentrale Aspekte der zivilrechtlichen Haftung und strafrechtlichen Verantwortlichkeit behandelt. Dabei wird die Haftung des Geschäftsführers gegenüber Gesellschaftsgläubigern (sowohl Alt- als auch Neugläubigern) sowie die Ersatzpflicht für Zahlungen nach Insolvenzreife thematisiert.
