Focusing on the concept of regulatory competition in European corporate law, the author critically examines the European private limited liability company (SPE) as a means to enhance corporate mobility for small and medium enterprises. By analyzing the evolution of case law from Centros to Cartesio, Winkler argues that the notion of regulatory competition remains largely illusory. Ultimately, she posits that the introduction of the SPE may not foster this competition but could instead impede progress in the development of corporate statutes across Europe.
